Order Form
Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (https://commonpaper.com/standards/cloud-service-agreement/2.1/), which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.
Cloud Service: BrandRetriever is a subscription web app and browser extension that lets marketing teams organize their Klaviyo image library and bring in images from their computer and from sources such as Google Drive, Dropbox, and Brandfolder, without downloading and re-uploading files. It can also show where images are used across Customer's Klaviyo content.
Order Date: The Effective Date
Subscription Period: 1 month, or another period Customer selects at checkout
Cloud Service Fees:
Customer will pay Provider the Fees for the number of Klaviyo accounts Customer connects, as shown on Provider’s pricing page (brandretriever.com/pricing). Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.
Payment Process: Automatic payment: Customer authorizes Provider to bill and charge Customer's payment method on file at the start of each Subscription Period for immediate payment or deduction without further approval.
Non-Renewal Notice Period: At least 1 day before the end of the current Subscription Period.
Use Limitations:
Business use only. The Cloud Service is offered only to businesses and business professionals acting for a business or organization, not to consumers.
Supported regions. Customer must be located in a country or region Provider supports, as listed on its pricing page (currently the United States, Canada, Australia, the United Kingdom, and the member states of the European Union), based on its principal place of business or billing address. Customers located elsewhere may not sign up for or use the Cloud Service.
Business tax ID. Where checkout asks for one, Customer must provide a valid business tax ID and keep it current.
Authorized accounts. Customer may connect only Klaviyo accounts and asset sources (such as Brandfolder, Google Drive, and Dropbox) that it is authorized to access, including accounts of its own clients that it is authorized to manage.
No circumvention. Customer may not use the extension or the Product to bypass the terms, restrictions, or rate limits of Klaviyo or any connected provider.

DPA and Privacy Policy
Customer's acceptance of this Agreement includes acceptance of the DPA. Provider's handling of Personal Data as a controller (such as account and billing data) is described in its Privacy Policy at brandretriever.com/legal/privacy.
Ineligible Customers
Despite Section 5.3, Provider may terminate this Agreement immediately on notice if Customer is not eligible to use the Product under the Use Limitations. In that case, Provider will refund any prepaid Fees for the remainder of the Subscription Period on a prorated basis.
Changes during the free trial period:
New Customers may use the Cloud Service free of charge for the free trial period offered at sign-up (currently 14 days) after the Effective Date (the "free trial period") without providing a payment method. Customer will be asked to provide a payment method only if Customer chooses to continue with a paid subscription after the trial. Provider will not charge Customer unless Customer chooses to continue and provides a payment method.
During the free trial period: (1) Sections 1.2 (Support), 6.3 and 6.4 (Provider warranty and remedy), and 9.1 (Protection by Provider) do not apply; and (2) the General Cap Amount is $100 for all claims arising during the free trial period.
Free trial, invoicing, and Subscription Period:
Despite Sections 4.2 and 4.3, Provider will not invoice or charge Customer during the free trial period. Despite Section 5.1, the Subscription Period begins when Customer chooses to continue with a paid subscription after the trial and provides a payment method.
No AI Training
Delete Section 1.6 and replace it with: "No AI Training. Provider may not use Customer Content or Usage Data to train any artificial intelligence, machine learning, large language models, or other similar networks, algorithms, or systems."
Third-Party Services:
BrandRetriever is not affiliated with, endorsed by, or sponsored by Klaviyo, Google, Dropbox, Brandfolder, or any other service Customer connects. Customer is responsible for its accounts with those services and for complying with their terms. Customer authorizes Provider to access its connected accounts, using the permissions Customer grants, solely to provide the Product. Provider does not control third-party services and is not responsible for their availability, changes, or restrictions. Section 6.3 does not apply to loss of functionality caused by a third party's changes; Provider may modify or discontinue an affected feature. Customer is responsible for confirming the Klaviyo account and assets selected before importing them and for reviewing content before it is sent to recipients. Information the Product shows about Customer's Klaviyo content, such as where images are used, is provided for convenience, may be based on periodic scans, and may be incomplete or delayed.
Taxes:
Customer represents that it is a business and that the business tax ID and billing details it provides are accurate. Where a valid business tax ID means reverse charge or zero rating applies, Provider will not charge that tax and Customer is responsible for accounting for it. If the tax ID is invalid or Customer is not acting as a business, Provider may charge the applicable taxes under Section 4.4.
Changes to Terms.
Despite Section 12.2, Provider may update the Framework Terms, Use Limitations, and DPA by posting the updated version. If an update materially reduces Customer's rights or Provider's obligations, Provider will give at least 30 days notice (including by email or in the Product), and Customer may cancel before the effective date if it does not accept the changes. Other updates take effect when posted. Continued use after an update takes effect is acceptance. Changes to Fees follow the Cloud Service Fees section above.
